ST CROIX YACHT CLUB SAILING ASSOCIATION, INC. ARTICLES OF INCORPORATION Article I – Name The name of the corporation shall be St. Croix Yacht Club Sailing Association, Inc. Article II – Purpose The corporation is organized exclusively for charitable and educational purposes under Section 501(c)(3) of the Internal Revenue Code. The purpose is to provide accessible sailing instruction, training, and educational programs to the public, to youths and adults in the community of St. Croix, U.S. Virgin Islands; to foster responsible seamanship, maritime education, water safety, and character development through the sport of sailing; to promote amateur athletics through sailboat racing competitions and other community based sailing events; to provide opportunities for individuals, especially youths, to learn about and participate in sailing, regardless of their financial circumstances; to preserve and protect marine environments through educational initiatives and responsible boating advocacy; to engage in any lawful act or activity for which corporations may be organized under the US Virgin Islands Nonprofit Corporation Act, provided such acts or activities are consistent with Section 501(c)(3) of the Code. Article III – Office and Agent The principal office of the corporation is: Its resident agent is the St Croix Yacht Club, Inc. with mailing and physical address of: 5000 Teague Bay
Article IV – Duration The Corporation shall commence its existence upon filing and its duration shall be perpetual. Article V -- The St Croix yacht Club, Inc. shall be the sole member. Article VI -- The highest amount of indebtedness or liability to which the corporation shall at any time be subject is unlimited. Article VII – Board of Directors The affairs of the corporation shall be managed by a Board of Directors. The initial number shall be seven (7), three of which directors shall serve an initial term of one year and two years thereafter, and four of which directors shall serve an initial term of two years and two years thereafter. At least one of the directors shall not be member of the St. Croix Yacht Club. No more than 2 directors shall also be directors of the St. Croix Yacht Club.
Article VIII – Nonprofit Nature This corporation shall be nonprofit, and no part of the net earnings shall inure to the benefit of any private individual. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. The corporation shall not engage in any activities not permitted under Section 501(c)(3). In the event of dissolution, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3). Article IX – Limitations of Liability To the fullest extent permitted by the Virgin Islands Nonprofit Corporation Act, as it now exists or may hereafter be amended, a director of the Corporation shall not be liable to the Corporation or its members for monetary damages for breach of fiduciary duty as a director. The Corporation shall indemnify any director or officer, or former director or officer, to the fullest extent permitted by the US Virgin Islands Code, Title 13, Chapter 3 Non Profit Corporations, as it now exists or may hereafter be amended. MISSION STATEMENT St. Croix Yacht Club Sailing Association, Inc. will provide educational opportunities for youth and adults in the community of St. Croix, U.S. Virgin Islands through accessible educational sailing programs, and will promote amateur athletics through sailboat racing competitions and other community-based sailing events, fostering a passion for the sport of sailing while promoting teamwork, sportsmanship, skills in seamanship, self-confidence, and environmental respect.
