ST CROIX YACHT CLUB SAILING ASSOCIATION, INC. BY-LAWS
ARTICLE I – NAME AND PURPOSE
Section 1: Name
The name of the organization is St. Croix Yacht Club Sailing Association, Inc.
Section 2: Purpose
This organization is organized exclusively for charitable and educational purposes under Section 501(c)(3), of the Internal Revenue Code of 1986, or the corresponding section of any future federal tax code to promote sailing education and water safety for the public, with a focus on making these activities accessible to all, regardless of age, background, or ability and to promote amateur athletics through sailboat racing competitions and other community based sailing events that encourage sportsmanship, teamwork, and a passion for the sport and foster environmental stewardship and education about the marine environment, for youth, and adults in St. Croix, U.S. Virgin Islands.
No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in this Article. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.
ARTICLE II – SUBSIDIARY AND OFFICES
The St. Croix Yacht Club Sailing Association, Inc. is a subsidiary of the St. Croix Yacht Club, Inc. a 501(c)(7) organization, but shall operate exclusively to further its own charitable purposes, with a principal office located at 5000 Teague Bay, Christiansted, St. Croix, USVI 00820
ARTICLE III – BOARD OF DIRECTORS
Section 1: Composition
The board shall consist of 7 directors.
Section 2: Terms
Directors shall serve staggered two-year terms, three of which shall serve an initial term of one year and two years thereafter, and four of which shall serve an initial term of two years and two years thereafter. At least one of the directors shall not be member of the St. Croix Yacht Club. No more than 2 directors shall also be directors of the St. Croix Yacht Club.
Section 3: Duties
The board is responsible for overall policy and direction, and delegates responsibility for day-to-day operations.

MISSION STATEMENT St. Croix Yacht Club Sailing Association, Inc. will provide educational opportunities for youth and adults in the community of St. Croix, U.S. Virgin Islands through accessible educational sailing programs, and will promote amateur athletics through sailboat racing competitions and other community-based sailing events, fostering a passion for the sport of sailing while promoting teamwork, sportsmanship, skills in seamanship, self-confidence, and environmental respect.
